Freelance Web Development Monthly Subscription Contract

This Agreement is made on _______________________ by and between Frugal Engineering Inc., hereinafter referred to as “Developer,” and ______________________________ hereinafter referred to as “Client.”

1. Services Provided:
The Developer agrees to provide web development services to the Client on a monthly subscription basis, which includes maintenance, updates, domain hosting, and other agreed-upon tasks listed here.

2. Payment Terms:

  • Monthly Fee: The Client agrees to pay the Developer a monthly fee of $______.
  • Payment Schedule: Payments are due on the ____ of each month.
  • Extras: Any additional services such as hosting, domain registrations, or third-party fees (e.g., Shopify) will be billed separately and must be paid by the Client.

3. Additional Pages:

  • Definition: Additional pages are any web pages requested by the Client beyond the initial 5 pages included in the standard package.
  • Cost: Each additional page will be billed at a rate of $[Amount] per page.
  • Scope of Work: Additional pages include design, development, and any required content integration as per the Client’s requirements.
  • Payment: Payment for additional pages is due upon completion of each page or can be included in the next monthly invoice, as agreed upon by both parties.
  • Approval: The Client must approve the scope and design of additional pages before development begins. Any changes after approval may incur additional costs.

4. Design Authority:
The Developer retains the final say in all design matters. This includes ensuring accessibility, adherence to best practices, and overall quality. The Developer reserves the right to refuse any unreasonable, inaccessible, or bad practice requests from the Client.

5. Contract Cancellation and Termination:

  • Non-Payment: If the Client fails to make a payment, the Developer may terminate the contract after a 30-day grace period. If the Client is more than 2 months late, before the minimum of 6 months has been paid, the Developer may cancel the contract and charge the Client $3,000 for the site.
  • Harassment: The Developer reserves the right to cancel the contract in case of harassment.
  • Late Fees: Late payments are subject to a fee of $50.
  • Site Removal: If the Client fails to make payments after the initial 6 months, the Developer may take down the site until payments are made. Reinstatement will require payment of all late fees and the first month’s payment upfront.

6. Liability:
The Developer is not liable for any damages, losses, or lawsuits resulting from the completed website. The Client agrees to indemnify and hold harmless the Developer from any claims arising out of the use of the site.

7. Intellectual Property:

  • Temporary License: The Client is granted a temporary license to use the Developer’s work for their site as long as payments are made.
  • Prohibition of Duplication: The Client cannot duplicate, reproduce, or use the Developer’s work elsewhere without permission. This includes transferring the design/code to another developer or platform.

8. Dispute Resolution:
Any disputes arising under this contract shall be resolved in the courts of Jefferson County, Colorado.

9. Miscellaneous:

  • Governing Law: This contract shall be governed by the laws of Colorado.
  • Amendments: Any amendments to this contract must be made in writing and signed by both parties.
